The 校董会 is the governing body for the University of Denver. The Board delegates to the chancellor, other leadership 和 the faculty broad responsibility for management of the University 和 for day-to-day operations. Its primary roles include selection 和 oversight of the chancellor, management of the endowment 和 投资s of the University, oversight of financial 和 other controls, 法律和其他合规性, 和 approval of strategic plans 和 annual budgets. The Board operates in significant measure through its committees.

The board consists of no more than 38 voting board members, divided into four classes of seven members each, all elected 和 appointed for four-year terms. Trustees may serve no more than a total of three consecutive full terms; however, a Trustee is eligible for re-election to the Board following one year’s absence from Board service. 教员教员中的一员, 由全体教员选出, together with the presidents of the 本科生学生会, 研究生会, 和 the Student Bar Association serve as representatives to the Board. In its deliberations the Nominating 和 治理 Committee recognizes that there should be an appropriate diversity of skills 和 representation on the Board. It shall take into account the benefits to be gained from the participation of persons not residing in the Denver metropolitan area, of persons having current political insight, 还有教育工作者. Above all it should recognize that the University needs interested, 专用的, knowledgeable 和 diversified representatives.
Prospective Trustees are asked to pledge to make trusteeship one of their most important philanthropic activities 和 to devote to their duties the time reasonably required. Trustees are required to attend all meetings, but attendance is excused for good cause. Failure to attend at least two of the three regular meetings in any given fiscal year, unless so excused shall be grounds for removal from the Board. A Trustee is deemed present in person at a meeting if using electronic communications.

The Nominating 和 治理 Committee presents its nominations at the annual meeting of the 校董会 each year. The successors to the Trustees whose terms will next expire are nominated. Successors to the Trustees whose offices are vacant for any cause may be nominated at any meeting of the Board.
